TERMS AND CONDITIONS

PLEASE READ CAREFULLY. BY ACCESSING OR USING THE WEGOTDOCS PLATFORM YOU AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, ACCEPTABLE USE POLICY, REVIEW & RATINGS POLICY, AND COOKIE POLICY (TOGETHER, THE "PLATFORM POLICIES"). IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

1. ABOUT WEGOTDOCS — WHAT WE ARE AND ARE NOT

WeGotDocs is an online provider-search and appointment-booking-request platform. WeGotDocs is a neutral technology intermediary. WeGotDocs is NOT: a healthcare provider, medical group, or clinical facility; a party to any patient-provider relationship; a referral service and does not recommend or endorse any provider; an EMR or health records platform; a medical billing or insurance service; or a guarantor of any provider's qualifications, availability, or outcomes. WEGOTDOCS DOES NOT PROVIDE MEDICAL ADVICE. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 IMMEDIATELY. DO NOT USE THE PLATFORM FOR EMERGENCIES.

2. ELIGIBILITY AND ACCEPTANCE

You must have legal capacity to contract. Providers must be licensed professionals in good standing who are not excluded from federal or state healthcare programs, and must execute the MSA and BAA. Patients must be at least 18, or a parent/legal guardian booking on behalf of a minor or an individual for whom they are legally authorized to act. The Platform is not directed to children under 13 and we do not knowingly collect their personal information; contact privacy@wegotdocs.com if you believe a child under 13 has provided data.

3. ACCOUNTS

You agree to provide accurate registration information, keep credentials confidential, and notify security@wegotdocs.com of unauthorized use. You are responsible for activity under your account. We may verify provider credentials as described in the MSA; such verification is an administrative screening only and is not an endorsement or guarantee of any provider's qualifications, and Patients are encouraged to independently verify providers through state licensing boards.

4. THE SERVICES

4.1 For Patients

Patients may search providers, view profiles and reviews, and submit booking requests. Submitting a request does NOT guarantee an appointment; all appointments require provider confirmation. The patient-provider relationship is solely between you and the provider. Provider profile content is supplied by providers, and reviews are supplied by other patients; WeGotDocs does not author or verify either except as expressly stated in the Review & Ratings Policy. Patient use of the Platform is also governed by the Patient Disclosure & Assumption of Risk (Document 5), incorporated by reference.

4.2 For Providers

Providers may maintain profiles and receive booking-request notifications by email. Providers — not WeGotDocs — are solely responsible for confirming appointments, verifying patient information, providing clinical care, responding lawfully (or not at all) to reviews, and maintaining medical records. WeGotDocs does not integrate with any EMR.

4.3 Notifications

Booking requests are transmitted by email and also displayed on the provider dashboard. WeGotDocs is not liable for email non-delivery, spam filtering, or a party's failure to monitor communications, as further described in the MSA.

5. USER CONTENT; SECTION 230; OUR ROLE AS HOST

5.1 User Content License

"User Content" includes provider profiles, patient reviews and ratings, and other submissions. You grant WeGotDocs a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and distribute your User Content in connection with operating, promoting, and improving the Platform. You represent your User Content is accurate, lawful, your own genuine statement, and non-infringing.

5.2 Interactive Computer Service; No Adoption of Content

WeGotDocs is a provider of an "interactive computer service" within the meaning of Section 230 of the Communications Decency Act, 47 U.S.C. § 230. All reviews, ratings, profile content, and other User Content are the statements of the third parties who submit them and are "information provided by another information content provider" under Section 230. WEGOTDOCS DOES NOT AUTHOR, ADOPT, ENDORSE, RATIFY, OR VERIFY ANY USER CONTENT, and the presence of content on the Platform does not represent WeGotDocs's views. Star ratings are arithmetic averages of patient-submitted scores; search orderings are generated algorithmically from neutral criteria described in the Review & Ratings Policy. Nothing in these Terms shall be construed to treat WeGotDocs as the publisher or speaker of any User Content, and no provision of these Terms waives or limits any immunity or protection available to WeGotDocs under Section 230 or any similar law.

5.3 Moderation Discretion

We may, but have no obligation to, monitor, screen, remove, or restrict User Content at our discretion, including under the Review & Ratings Policy and Acceptable Use Policy. Any good-faith moderation we perform is protected under 47 U.S.C. § 230(c)(2) and does not make us the publisher of remaining content, create a duty to monitor, or constitute an undertaking to remove any particular content.

5.4 Prohibited Conduct

Conduct rules, including the prohibition on fake reviews, harassment, scraping, and unlawful use, are set out in the Acceptable Use Policy (Document 7), which is incorporated by reference and binding on all users.

6. PRIVACY, HIPAA, AND HEALTH DATA

Our collection and use of personal information is described in the Privacy Policy (Document 4), the CCPA Notice within it, and the Cookie Policy (Document 8). Information patients submit to book appointments may constitute PHI, which we handle in accordance with HIPAA and our BAAs with providers. State health-data laws (including the Washington My Health My Data Act and similar laws) may grant additional rights described in the Privacy Policy.

7. FEES

Patient search and booking is currently free. Provider subscriptions are governed by the MSA and posted pricing. We may introduce or change fees prospectively with notice.

8. ACCESSIBILITY

WeGotDocs is committed to making the Platform accessible to people with disabilities and endeavors to substantially conform to the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you encounter an accessibility barrier, contact accessibility@wegotdocs.com and we will work with you in good faith to provide the information or service through an alternative method. We welcome feedback to improve accessibility.

9. THIRD-PARTY LINKS

We are not responsible for third-party sites or services linked from the Platform; your use of them is at your own risk and linking is not endorsement.

10. INTELLECTUAL PROPERTY; DMCA

The Platform and all WeGotDocs content, software, marks, and algorithms are owned by WeGotDocs or its licensors. You receive only a limited, personal, revocable license to use the Platform as intended. Copyright complaints: send a DMCA notice to our designated agent at dmca@wegotdocs.com containing the elements required by 17 U.S.C. § 512(c)(3) (identification of the work and infringing material, contact information, good-faith statement, accuracy statement under penalty of perjury, and signature). We will respond per the DMCA, may remove material, and maintain a policy of terminating repeat infringers in appropriate circumstances. Counter-notices may be sent to the same address.

11. DISCLAIMERS

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY REGARDING: AVAILABILITY OR ERROR-FREE OPERATION; THE ACCURACY OF PROVIDER PROFILES, CREDENTIALS, AVAILABILITY, OR INSURANCE PARTICIPATION; THE ACCURACY OR RELIABILITY OF REVIEWS OR RATINGS; TIMELY DELIVERY OF NOTIFICATIONS; OR THE QUALITY, SAFETY, LEGALITY, OR OUTCOMES OF ANY CLINICAL CARE. WE ARE NOT RESPONSIBLE FOR ANY HARM ARISING FROM A PATIENT-PROVIDER RELATIONSHIP INITIATED THROUGH THE PLATFORM OR FROM RELIANCE ON ANY USER CONTENT.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEGOTDOCS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR PERSONAL INJURY, WRONGFUL DEATH, OR CLINICAL OUTCOMES ARISING FROM CARE PROVIDED BY ANY PROVIDER. WEGOTDOCS'S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE PRIOR TWELVE (12) MONTHS OR ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS LIMIT THESE EXCLUSIONS; IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED. NOTHING HEREIN LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless WeGotDocs and its officers, directors, employees, and agents from claims arising out of: your use of the Platform; your User Content (including reviews you submit and, for providers, responses to reviews); your violation of these Terms, the Platform Policies, or law; and, for providers, any clinical services and any patient claim arising from your conduct.

14. CHANGES; TERMINATION

We may modify these Terms with at least fourteen (14) days' notice for material changes; continued use is acceptance. We may modify, suspend, or discontinue the Platform at any time. We may suspend or terminate access for violations, legal risk, or safety concerns. You may close your account anytime via support@wegotdocs.com. Sections intended to survive (including 5, 6, 10–13, 15, 16) survive termination.

15. GOVERNING LAW; ARBITRATION; CLASS WAIVER

These Terms are governed by the laws of the State of New Jersey without regard to conflicts rules. Disputes shall be resolved by binding individual arbitration administered by JAMS under its applicable rules; the Federal Arbitration Act governs. YOU AND WEGOTDOCS WAIVE JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS to the fullest extent permitted by law. You may opt out of arbitration within thirty (30) days of first accepting these Terms by emailing legal@wegotdocs.com with your name and account email. Small-claims actions and requests for public injunctive relief where non-waivable are excepted. WeGotDocs may seek injunctive relief in court to protect its IP or the Platform's security. If the class waiver is found unenforceable as to a claim, that claim proceeds in court, not arbitration.

16. MISCELLANEOUS

California users: under Cal. Civ. Code § 1789.3, you may contact the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, (800) 952-5210. These Terms plus the Platform Policies (and, for providers, the MSA and BAA) are the entire agreement; severability and no-waiver apply; you may not assign these Terms; we may assign in connection with a merger or asset sale. No provision creates any healthcare relationship between you and WeGotDocs.
